Today, Moscow has launched the annual general meeting of shareholders of OAO Gazprom. At the meeting in person, through their representatives, and correspondence are attended by shareholders from Russia and some foreign countries. The Assembly represents the interests of shareholders owning a total of 19 311 769 091 shares, representing 81.58% of the total. At 8 May 2009 in the list of persons eligible to participate in the shareholders' meeting, included 551 866 individuals registered with the number of shares 23 673 512 900.
According to the decision of the Board of Directors of Gazprom Chairman of Assembly approved the Chairman of the Board of Directors of OAO Gazprom, First Deputy Chairman of RF Government Viktor Zubkov. A collection of participated members of the Board of Directors of OAO Gazprom: Alexei Miller, Alexander Ananenkov, Burkhard Bergmann, Farit Gazizullin,Elena Karpel, Mikhail Sereda, Igor Yusufov.
At the meeting agenda included the following questions:
1. Adoption of the annual report of the Company;
2. Approval of annual financial statements, including statements
the income statement (profit and loss accounts) of the Company;
3. Approval of distribution of profit according to the results
2008;
4. On the amount, timing and method of payment of dividends by results of 2008;
5. Adoption of auditor;
6. The remuneration of the members of the Board of Directors and the Audit Commission;
7. On approval of transactions, of which there is an interest that may be committed by OAO Gazprom in the future in the implementation of the normal business activities;
8. The election of members of the Board of Directors of the Company;
9. The election of members of the Audit Commission.
